GENERAL TERMS AND CONDITIONS REMOVERS (as of 17-04-2025)

Article 1. General

In these general terms and conditions the following terms shall have the following meanings:

    1. Removers : the contractual counterparty to the removal agreement with the client and user of these general terms and conditions within the meaning of Article 6:231 sub b BW.

    • Client : the natural or legal person who instructs Removers to perform work or purchases services from Removers and is the other party to the agreement with Removers within the meaning of Article 6:231 sub c of the Dutch Civil Code.

    • Parties : Removers and clients jointly.

    • Removal goods : items that are located in a covered or uncovered space and that are intended for the furnishing, furnishing or design of that space and have already been used as such, with the exception of items that, according to common views, do not form part of the usual contents of that space and are intended for removal, unless and only to the extent that an exception has been made for this in the removal agreement.

    • Removal agreement : the agreement between Removers and the client on the basis of which Removers, in return for payment by the client, will provide services or perform work, including the transport of removal goods within a building and/or by road.

    • Written : In these General Terms and Conditions, “written” also includes communication by e-mail, fax or digitally, provided that the identity of the sender and the integrity of the content are sufficiently established.

Article 2. Applicability

    1. These general terms and conditions apply to all offers, quotations and agreements of Removers, involving removals within a building, removals involving transport exclusively by road and removals involving a combination thereof and insofar as these take place within, from or to the Netherlands, unless this applicability has been expressly excluded in writing in whole or in part or has been explicitly agreed otherwise.

    • Any conditions of the client are explicitly rejected. Deviations from and additions to these conditions are only applicable if and to the extent that they have been expressly accepted in writing by Removers.

    • If Removers has permitted deviations from these Terms and Conditions for a short or long period of time, either tacitly or otherwise, this shall not affect its right to subsequently demand immediate and strict compliance with these terms and conditions. The client cannot derive any rights from the manner in which Removers applies these terms and conditions.

    • These conditions also apply to all agreements with Removers, for the execution of which third parties must be involved. These third parties can directly invoke the present conditions against the client, including any limitations of liability.

    • If one or more of the provisions of these General Terms and Conditions or any other agreement with Removers are in conflict with a mandatory statutory provision or any applicable legal provision, the provision in question will lapse and will be replaced by a new, legally permissible and comparable provision to be determined by Removers.

    • In the event of conflict between and/or deviations from the content of an agreement concluded between the client and Removers and the present conditions, the content of the agreement shall prevail. Agreed deviations shall never apply to more than one assignment, unless confirmed in writing each time.

Article 3. Quotations

    1. Quotations issued by Removers are without obligation, unless a term for acceptance is stated in the quotation. Removers reserves the right to revoke its offer immediately after acceptance by the client.

    • Prices included in the quotation are based by Removers on information and data provided by the client, such as the moving distance, the volume of the moving goods, the type of home, the living height, any

presence of a lift, access and exit routes and (if necessary) the weight of the moving goods. The client guarantees that he has provided all essential information and data for the design, execution and completion of the assignment to the best of his knowledge.

3. The quotation will, if necessary, clearly state whether the quoted price includes the following services/activities/items:

    1. loading and unloading of moving boxes;

    • packing and unpacking boxes and crates;

    • disassembling and reassembling furniture, such as cabinets;

    • the removal, removal, disconnection, placement and/or hanging of lamps, curtains, floor coverings, stoves, fireplaces, sanitary facilities, (electronic) equipment and anything else attached to or on ceilings, walls and roofs;

    • delivery and/or use of moving boxes as well as whether the client may keep the moving boxes for his own use after the move or whether he must return them.

    • costs of (additional) insurance.

    • Removers only connects and disconnects electronic equipment, sanitary facilities, fireplaces, stoves and the like if no specific expertise is required and only to the extent that this has been explicitly agreed between the parties in the quotation.

    • Unless otherwise agreed in writing, the prices in Removers’ quotations exclude the use of ferries and pontoons, tolls to be paid, border and customs charges and reasonable costs incurred for taking unforeseeable measures to preserve or deliver the removed goods.

    • Unless otherwise agreed in writing, the prices in Removers’ quotations include VAT and other government levies.

    • A composite quotation does not oblige Removers to perform part of the assignment for a corresponding part of the stated price.

    • Quotations do not automatically apply to future orders.

Article 4. Conclusion of the agreement

    1. Except as stated below, an agreement with Removers will only be concluded after (digital) acceptance of the offer by the client. The accepted offer is deemed to correctly and completely reflect the removal agreement. The conclusion of the removal agreement may also be apparent from other facts and circumstances, for example when Removers commences the work at the request of the client.

    • Any additional agreements or changes made later, as well as agreements with personnel and/or third parties working for Removers, will only bind Removers if they have been confirmed in writing by Removers.

Article 5. Execution of the assignment

    1. If the parties have agreed on an advance payment, the agreement will only be executed by Removers after receipt of the agreed advance payment amount.

    • Removers has the right to have work carried out by third parties. The applicability of articles 7:404, 7:407 paragraph 2 and 7:409 BW is hereby excluded.

    • The Client is obliged to provide Removers with all information, data, documents and/or any materials whatsoever that Removers deems necessary for the correct execution of the assignment, in a timely manner and in the form and manner desired by Removers.

    • The Client guarantees the correctness, completeness, reliability and suitability of the information, data and documents provided to Removers for the execution of its assignment or the material made available to Removers.

Article 6. Execution times and working hours

    1. If a term has been agreed for the execution of certain work within which the assignment will be carried out, this shall never be a fatal term, unless that term has been expressly designated in writing as a fatal term.

    • If Removers fails to execute the removal agreement within the agreed period or if there is a delay, this does not constitute grounds for the client to terminate the agreement or to obtain any right to

compensation or discount. The client must, if applicable, give Removers written notice of default and offer a reasonable period to still execute the removal agreement.

    • Some delays may occur due to, among other things, a move running late, traffic jams, bad weather conditions, incorrectly parked vehicles. Removers is not responsible for this and the costs for the waiting time are borne by the client.

    • The starting time of the removal work is indicated in a time block to exclude illness, traffic jams or other delays as much as possible. Removers is nevertheless not liable for damage as a result of any delay in the starting time.

    • After 8 consecutive working hours, a surcharge of 150% on top of the hourly wage will be charged in connection with irregular hours allowance.

6. Working hours are calculated in whole hours and rounded up.

    • For moving services, a minimum purchase of three working hours applies, unless otherwise agreed in advance.

Article 7. Cancellation

1. If the client wishes to cancel an order, the following cancellation fees apply:

    1. Orders can be canceled free of charge up to 14 calendar days before the planned moving date;

    • if an order is canceled less than 14 calendar days before the planned moving date, the client owes Removers a fee of 15% of the quoted amount;

    • if an order is canceled less than 7 calendar days before the planned moving date, the client owes Removers a fee of 50% of the quoted amount;

    • If an order is canceled less than 24 hours before the scheduled moving date, the client owes Removers the full quoted amount.

    • In the event of premature termination by the client, Removers will, upon request and in consultation with the client, ensure the transfer of work still to be performed to third parties. If the transfer of the work details additional costs for Removers, these will be charged to the client.

Article 8. Invoicing and payment

    1. Unless otherwise agreed in writing, payment of invoices must be made by means of a debit card payment or bank transfer immediately after the move. If it has been agreed that payment will be made after receipt of an invoice, payment must be made within 14 days after the invoice date, without discount or settlement and in a manner to be indicated by Removers in the currency in which the invoice was issued, unless expressly agreed otherwise.

    • After the agreed payment term has expired, the client will be in default by operation of law without any further notice of default being required.

    • From the moment of default, the Client shall owe an amount of 1% per month of the outstanding amount on the amount due. All (extra)judicial costs that Removers incur to obtain satisfaction – both in and out of court – shall from that moment be borne by the Client. In that case, the Client shall owe compensation of at least 15% of the outstanding amount, with a minimum of € 150.00. For consumers, this percentage shall be at least 5% with a minimum of € 40.00. If the costs actually incurred and to be incurred by Removers exceed this amount, these shall also be eligible for compensation.

    • In the event of liquidation, bankruptcy, debt restructuring or suspension of payment of the client or an application thereto, the claims of Removers and the obligations of the client towards Removers are immediately due and payable.

    • If the client has one or more counterclaims on Removers for whatever reason, the client waives the right to offset. The aforementioned waiver of the right to offset also applies if the client requests (provisional) suspension of payment or is declared bankrupt.

    • Objections to the amount of the invoices do not suspend the payment obligation.

Article 9. Obligations of the client

    1. Client undertakes to organize the circumstances on and around the location, including parking space, transport space, permits and exemptions for the removal vans, removal lifts and personnel, where applicable, in such a way that the assignment can be carried out within acceptable circumstances. Client must apply for the permits and exemptions required for the assignment in a timely manner from the municipality or the relevant person responsible for this.

    • The client is obliged to inform Removers when entering into the removal agreement of any items that are among the removal goods that may be dangerous and/or harmful to persons or the environment. The client must inform Removers of the nature of the danger and any precautionary measures to be taken by Removers.

    • The client is liable for all reasonably incurred and attributable costs and damage resulting from the transport of dangerous and/or harmful items. Removers reserves the right not to move dangerous and/or harmful items about which Removers was not, incorrectly or incompletely informed when concluding the agreement, or to unload them at any time and place in order to render them harmless or to destroy them at the expense of the buyer. All this without being liable to pay any compensation to the client.

    • Furthermore, the client is obliged to inform Removers of any items that are among the removal goods with a replacement value of more than €5,000.00.

    • Removers reserves the right not to move items that could pose a danger to personnel, such as heavy safes, concrete furniture and pianos, unless it has been explicitly agreed in the moving agreement that these items are included in the removal goods and that these items will also be moved.

    • The moving goods must be packed in a transport-worthy manner by the client himself, unless otherwise agreed in advance in the moving agreement. Small items must be packed in closed boxes in advance and the contents of, for example, a moving box must be packed in such a way that loose items cannot damage each other. Removers is not liable for damage to materials packed in advance by the client himself, provided that Removers can see in advance of the transport that the material is undamaged and expressly indicates that the material is packed in a transport-worthy manner.

    • When hoisting with rope and block, it is necessary that Removers employees can reach the hoist beam/moving hook and there must be a free passage for the moving goods. The client must ensure this.

    • Client undertakes to organize the circumstances at and around the removal location, including parking or transport space, for the removal lift(s) in such a way that Removers is reasonably able to execute the agreement without damage and within acceptable conditions. Client undertakes to take note of the structural condition of the building, in particular the balcony and/or balustrade, in order to be able to work without damage with the removal lift(s) and to apply protection or reinforcement if necessary.

    • If the client does not have the necessary permits and exemptions in time or does not meet the other obligations that arise for the client from these general terms and conditions, all costs and damages that result from this for Removers will be borne by the client. Removers also has the right to cancel the order and charge the quoted amount to the client.

    1. All costs and damages arising as a result of a circumstance described in this article must be paid immediately on the date on which the costs and damages arose.

Article 10. Liability

    1. Removers is only responsible for shortcomings in the execution of the assignment, insofar as these are the result of Removers’ failure to observe the care, expertise and professionalism that may be expected when carrying out the work in the context of the assignment in question.

    • If Removers is liable for any damage, then that liability is limited to compensation for direct damage and to a maximum of the payment to be made by Removers’ insurer in the event in question. Direct damage is understood to mean exclusively:

    1. the reasonable costs of determining the cause and extent of the damage, insofar as the determination relates to damage within the meaning of these general terms and conditions.

    • any reasonable costs incurred to ensure that Removers’ defective performance complies with the agreement, unless these cannot be attributed to Removers.

    • reasonable costs incurred to prevent or limit damage, to the extent that the client demonstrates that these costs have led to a limitation of the direct damage as referred to in these general terms and conditions.

    • Removers is in no way liable for:

    1. damage of any nature whatsoever arising from the fact that Removers has based its actions on incorrect and/or incomplete information provided by or on behalf of the client;

    • damage to or by natural persons, such as the client himself, who helps with the move on their own initiative or at the request of the client;

    • damage resulting from a method of performing the removal agreement, including the method in which removal goods are packed, other than the method proposed by Removers;

    • damage caused by or to moving lifts;

    • the presence among the removal goods of items for which Removers, if he had been informed by the client of their presence and nature, would have taken special measures;

    • damage caused by leakage, deflation or melting of other goods forming part of the contents;

    • damage caused by the death of plants;

    • damage due to the loss of bank notes, negotiable instruments, precious metals, coins and tokens, precious stones, pearls, documents and stamp collections, unless the client has handed these items over to Removers at the start of the removal, separately and stating the quantity and value;

    1. the failure or malfunctioning of electrical, electronic or mechanical equipment after moving.

    • risks or damage in respect of which Removers has advised, requested or obliged the client to take out (additional) insurance and which insurance the client has failed to take out;
        • damage to plants, aquariums, animals, stairwells, antiques and floors.

    • Removers is never liable for indirect damage, including personal injury, consequential damage, loss of profit, missed savings, damage due to business stagnation and damage resulting from fines imposed for failure to meet delivery deadlines.

    • If the client prescribes or makes available to Removers equipment or a method of operation for the execution of the removal agreement, Removers is responsible for the correct execution or correct use thereof, but never for the soundness or suitability of the equipment or the method of operation itself.

    • Hoisting and/or the use of a lifting beam/moving hook/moving lift is at the risk of the client. All damages resulting from hoisting are fully borne by the client.

    • The client has a mandatory deductible of € 250.00 per case, if the damage can be demonstrated to have been caused by Removers.

    • The limitations of liability for direct damage included in these general terms and conditions do not apply if the damage is due to intent or gross negligence on the part of Removers.

Article 11. Damage and complaints

    1. In the event of damage, the client must specify this damage in the presence of the employees of Removers who are carrying out the removal and record this in writing. The liability of Removers expires after the departure of the employees of Klustoppers BV or if this has not been recorded in writing. In addition, any damage must be reported in writing within 24 hours to the head office of Removers at the following email address: support@removers.nl.

    • In case of damage, the client must always send the original purchase receipt of the damaged article. If the original receipt is not available, the client must request proof of value from the supplier.

Article 12. Limitation period

In all cases, the period within which Removers can be held liable for compensation for damages is limited to 1 year after the execution of the relevant assignment from which the damage arises. In this context, any defects or damage discovered by the client after delivery must be reported to Removers in writing immediately. All consequences of not reporting immediately are at the risk of the client.

Article 13. Indemnification

Opdrachtgever vrijwaart Removers voor eventuele aanspraken van derden, die in verband met de uitvoering van de opdracht schade lijden en waarvan de oorzaak aan opdrachtgever toerekenbaar is. Indien Removers uit dien hoofde door een derde mocht worden aangesproken, dan is opdrachtgever gehouden Removers zowel buiten als in rechte bij te staan en onverwijld al hetgeen te doen dat van hem in dat geval verwacht mag worden. Mocht opdrachtgever in gebreke blijven in het nemen van adequate maatregelen, dan is Removers, zonder ingebrekestelling, gerechtigd zelf daartoe over te gaan. Alle kosten en schade aan de zijde van Removers en derden daardoor ontstaan, komen integraal voor rekening en risico van opdrachtgever.

Artikel 14. Overmacht

    1. Partijen zijn niet gehouden tot het nakomen van enige verplichting, indien zij daartoe gehinderd worden als gevolg van een omstandigheid die niet is te wijten aan schuld, en noch krachtens de wet, een rechtshandeling of in het verkeer geldende opvattingen voor hun rekening komt.

    • Onder overmacht wordt in deze algemene voorwaarden verstaan naast hetgeen daaromtrent in de wet en jurisprudentie wordt begrepen, alle van buiten komende oorzaken, voorzien of niet voorzien, waarop Removers geen invloed kan uitoefenen, doch waardoor Removers niet in staat is de verplichtingen na te komen. Werkstakingen in het bedrijf van Removers, ziekte en/of arbeidsongeschiktheid, epidemie en/of pandemie, brand, oorlog, mobilisatie, overstroming en andere natuurrampen daaronder begrepen.

    • Removers heeft ook het recht zich op overmacht te beroepen, indien de omstandigheid die (verdere) nakoming verhindert, intreedt nadat Removers zijn verplichtingen had moeten nakomen.

    • Partijen kunnen gedurende de periode dat de overmacht voortduurt de verplichtingen uit de opdracht opschorten. Indien deze periode langer duurt dan 2 maanden is ieder van de partijen gerechtigd de opdracht te ontbinden, zonder verplichting tot vergoeding van schade aan de andere partij.

    • Voor zover Removers ten tijde van het intreden van overmacht inmiddels gedeeltelijk zijn verplichtingen uit de opdracht is nagekomen of deze zal kunnen nakomen, en aan het nagekomen respectievelijk na te komen gedeelte zelfstandige waarde toekomt, is Removers gerechtigd om het reeds nagekomen respectievelijk na te komen gedeelte apart te declareren. Opdrachtgever is gehouden deze declaratie te voldoen als ware het een afzonderlijke opdracht.

Artikel 15. Verbod overname personeel

Het is opdrachtgever verboden gedurende de periode waarin Removers werkzaamheden voor opdrachtgever verricht alsmede gedurende een periode van 12 maanden na afloop daarvan, een of meer personeelsleden van Removers in dienst te nemen dan wel anderszins gebruik te maken van hun diensten op straffe van betaling aan Removers van een vergoeding van € 25.000,-onverminderd het recht van Removers om nakoming te vorderen.

Artikel 16. Ontbinding

    1. Ingeval van aan opdrachtgevers zijde ontstane liquidatie, en/of (aanvrage van) surséance van betaling of faillissement, beslaglegging indien en voor zover het beslag niet binnen 3 maanden is opgeheven, schuldsanering, enigerlei omstandigheid waarin niet meer vrij over het vermogen kan worden beschikt, of van welke soortgelijke omstandigheid dan ook, staat het Removers vrij om de verhuisovereenkomst met onmiddellijke ingang te beëindigen, zonder enige verplichting zijnerzijds tot betaling van enige schadevergoeding of schadeloosstelling. De vorderingen van Removers op de opdrachtgever zijn in dat geval onmiddellijk opeisbaar.

    • In geval Removers gerechtigd is de overeenkomst te ontbinden zijn de vorderingen van Removers op de opdrachtgever onmiddellijk na de ontbinding opeisbaar. In dat geval is Removers op generlei wijze gehouden tot vergoeding van schade en kosten daardoor ontstaan.

Artikel 17. Geheimhouding

    1. Indien opdrachtgever schriftelijk aan Removers kenbaar maakt dat Removers geheimhouding dient te betrachten over de opdracht jegens derden, is Removers hiertoe verplicht, behoudens ingeval het voor het goed vervullen van de opdracht naar het oordeel van Removers noodzakelijk is te overleggen met derden, bijvoorbeeld met eventuele derden

die de opdracht daadwerkelijk uitvoeren. In dat geval is Removers verplicht voorafgaand toestemming te vragen aan opdrachtgever.

    • Ingeval door Removers derden zijn ingeschakeld ter uitvoering van (een deel van) de opdracht, zal door Removers aan dezen dezelfde geheimhoudingsverplichting worden opgelegd, als waaraan Removers zelf eventueel jegens opdrachtgever gebonden is.

Artikel 18. Toepasselijk recht

Op alle tussen Removers en de opdrachtgever gesloten overeenkomst is uitsluitend Nederlands recht van toepassing; ook indien opdrachtgever woonachtig of gevestigd is in het buitenland of indien geheel of gedeeltelijk in het buitenland uitvoering van de verhuisovereenkomst wordt gegeven.

Artikel 19. Geschillen

Alle geschillen, welke ook – daaronder begrepen die, welke slechts door een der partijen als zodanig worden beschouwd – die naar aanleiding van de overeenkomst of van de overeenkomsten die daarvan een uitvloeisel zijn, tussen partijen mochten ontstaan, worden beslecht door de bevoegde rechter in het arrondissement van de vestigingsplaats van Removers, tenzij een dwingende wetsbepaling zich hiertegen verzet.

ALGEMENE VOORWAARDEN OPSLAG

Artikel 1. Voorwerp en aard van de overeenkomst

Deze Algemene Voorwaarden zijn van toepassing op alle huurovereenkomsten tussen een eenmanszaak van de Removers, hierna te noemen ‘Removers ‘, enerzijds en huurders die opslagruimte gebruiken, hierna te noemen ‘de klant‘, anderzijds. Enerzijds worden de Removers vestiging, de gebruikte opslagruimte, het opslagproduct of de opslagdienst ‘de opslag’ genoemd terwijl de Algemene Verhuur Voorwaarden anderzijds ‘de Overeenkomst’ zullen genoemd worden. Inzake de goederen die worden opgeslagen of die waar ook geplaatst worden op de Removers vestiging (met inbegrip van de opslagruimte) zal de referentie‘ de Goederen’ gebruikt worden.

Artikel 2. Bestemming en gebruik

2.1 Removers verhuurt aan de klant opslagruimte conform de bepalingen van de Overeenkomst met als enig doel de opslag van (toegestane) goederen. Het is de klant niet toegestaan de gehuurde een andere bestemming te geven. De klant erkent uitdrukkelijk en stemt ermee in dat niets in de Overeenkomst zo kan worden uitgelegd dat de Klant inzake de opslag een eigendom of enig ander zakelijk recht verwerft. Removers zal bovendien inzake de gehuurde opslag en/of de opslagen Goederen hoe dan ook nooit fungeren als houder, bewaker of bewaarnemer. Bij het aangaan van de Overeenkomst garandeert de klant als enige de juridische en/of economische eigendom van de Goederen te bezitten en bijgevolg alle aansprakelijkheid in verband met de Goederen te aanvaarden. De klant zal Removers vrijwaren en schadeloos stellen inzake elke kost, vordering of enige andere actie van een derde partij in verband met de Goederen (met inbegrip van alle geschillen die te maken hebben met betwistingen inzake eigendomsrecht of het recht op bezit).

2.2 De klant zal voldoen aan alle bepalingen van deze Overeenkomst, de wet en de plaatselijke regelgeving alsook aan de mogelijke instructies van de lokale en nationale overheden, de nutsbedrijven en de verzekeraars.

2.3 Het is de klant NIET toegestaan:

•De opslag als werkplaats te gebruiken,

    • handelsactiviteiten te voeren vanuit de opslag,

    • De opslag te gebruiken als vestiging, domicilie of maatschappelijke zetel van een vennootschap,

    • De opslag te gebruiken voor illegale, criminele of immorele activiteiten alsook niet in het kader van belastingfraude.

2.4 Het is de klant STRIKT VERBODEN in de Opslag de volgende Goederen op te slaan (deze lijst is niet uitputtend): verplichting om de bevoegde overheden hieromtrent in te lichten en deze toegang te geven tot de opslag voor verificatie doeleinden (alle kosten hiervan komen ten laste van de klant). Removers kan, maar is niet verplicht, de Klant hiervan in kennis te stellen.

    • juwelen, bont, kustvoorwerpen, antiek, collectiestukken of onvervangbare voorwerpen, voorwerpen met een emotionele of bijzondere waarde.

    • cash (contanten), waardepapieren, effecten of aandelen,

    • elk voorwerp dat rook, geuren of stank afgeeft,

    • vogels, vissen, dieren of enig ander levend organisme,

    • waste and all possible waste materials (including animal and toxic/hazardous waste materials),

    • food and other perishable items unless they are packed in such a way that they will not attract vermin or cause any other nuisance,

    • firearms, explosives or ammunition,

    • illegal substances such as drugs, illegal objects or goods obtained illegally such as contraband or

stolen goods, etc…

    • chemicals, radioactive substances, biological agents,

    • asbestos and/or blue leather,

    • (artificial) fertilizer,

    • gas bottles and/or batteries,

    • fireworks,

    • any other toxic, flammable or dangerous substances or preparations which are listed as such under applicable legislation or local regulations, such as: – explosive substances and preparations such as aerosols. Toxic, flammable or dangerous substances can usually be recognised by the symbols below: Explosive / explosion hazard Oxidising, facilitates ignition of another product Toxic, dangerous product which can be fatal Xn/Xi Harmful/irritating,

harmful or irritating (including genetically harmful substances) Corrosive, attacks skin or materials Dangerous for the environment, hazardous to the environment Flammable, flammable product.

2.5 If the customer acts in violation of articles 2.3 and/or 2.4, the customer is liable to Removers for all damage that Removers may suffer as a result and the Customer exposes itself to possible criminal prosecution. The customer notes that Removers will not inspect the Goods or verify whether they are in accordance with the provisions of the Agreement.

2.6 In the event that it is suspected that the Customer is acting in breach of this Agreement, in particular in breach of Article 2, then

Removers have the right but not the obligation to inform the competent authorities about this and to grant them access

to storage for verification purposes (all costs of which are borne by the customer). Removers can, but are not

obliged to inform the customer of this.

Article 3. Rental period

A Storage Agreement is concluded for an initial minimum period of 4 weeks. After this minimum period of 28 days, the Agreement will automatically be extended for an indefinite period and may be terminated in writing at any time by either party by giving at least 15 days’ notice in writing.

Article 4. Rental price and non-payment

4.1 The rental prices and fees due will be invoiced in advance per calendar month together with any VAT due (if applicable). Upon signing the Agreement, the customer must (i) pay a first invoice due that relates to the rental price as well as any fees and costs related to the 1st month of storage. In the event that the customer effectively starts using the Storage after the 15th day of a calendar month, the customer is also due the rental price as well as any fees and costs for the following calendar month upon signing the Agreement.

4.2 The rental price (excluding any taxes) will remain unchanged for the first six (6) months of the Agreement. Thereafter, Removers reserves the right to revise the rental price and any costs from time to time. Revised rental prices and costs will apply 30 days after publication or written notice by Removers, Removers may request an additional security deposit from the customer upon signing the Agreement, equal to 1 month’s rent, in order to ensure proper compliance with the Agreement. Removers may recover all unpaid rents, fees and costs resulting from non-compliance with the Agreement from this security deposit (but is not obliged to do so). If Removers deems it necessary to recover from the security deposit, the Customer must immediately supplement the security deposit until the amount once again corresponds to the amount of the initially paid security deposit. Removers never pays interest on deposited securities.

4.3 The customer undertakes to pay the monthly rent and costs in advance, before the first day of each calendar month.

In the event of non-compliance with this, the customer will be in default without any notice being required.

4.4 If the customer cancels or changes the Agreement before actually using the storage, the Customer is nevertheless liable to pay Removers compensation equal to the rental price and any costs for a period of 15 days. The remaining rental fees, compensation and costs paid upon signing the inventory list/agreement will be refunded to the customer by Removers. A payment term of 4 weeks applies for this. Paid insurance premiums will never be the subject of a refund.

4.5 Removers may, at its own discretion, draw up paper or electronic invoices for the purpose of sending the monthly rent and costs and use the e-mail address provided by the customer for this purpose. In addition, the customer accepts, for all purposes, e-mail as a correct and sufficient means of communication between Removers and the customer.

4.6 If payment of the monthly rent and charges has not been received in full on the agreed payment date, Removers may deny the Customer access to the storage until the total outstanding balance has been paid. Removers also has the right to charge the Customer an administrative fee as follows: 20 EUR for the 1st reminder and 20 EUR for the 2nd reminder. Additional collection costs in accordance with Article 12.3 may be charged for each reminder, notice or notice of default. 4.7 As soon as the Customer is in default or the rent or a fee due under the Agreement has not been paid within 30 days after the agreed payment date, Removers shall acquire the following additional rights: (a) the ability, at its sole discretion, to remove the Goods from the storage in order to transfer them to alternative storage locations without any liability for any loss or damage resulting from such removal/transfer, (c) the ability to recover all costs resulting from the removal and transfer of

to charge the Customer for the Goods and for the additional costs of storing them elsewhere together with all costs that repeated removals/transfers would entail, (d) the option to immediately terminate the Agreement and subsequently charge the Customer a monthly occupancy fee equal to the monthly rental fee, (e) the option for Removers to consider the Goods in storage as abandoned goods (res derelicta) and, at their sole discretion, to dispose of such Goods.

4.7 The Customer agrees that all Goods in storage shall serve as security for Remover’s right to payment of the rental price, charges or any other sum due and that access to the Goods may be refused until all outstanding sums have been paid. The Customer also accepts that such security on the Goods in storage may result in a loss of title.

Article 5. Rules of Procedure

Article 6. Determination of liabilities

Zij zullen de goederen niet inspecteren, noch verifiëren of de goederen geschikt zijn voor opslag of voldoen aan de wettelijke bepalingen en de voorwaarden en/of beperkingen van deze overeenkomst. Bovendien wordt geen aansprakelijkheid aanvaard indien de opslag van de goederen ongepast, onveilig of illegaal blijkt te zijn.

6.2 The Customer shall indemnify Removers, on an ongoing basis, against any costs, claims, liabilities, damages or expenses suffered or incurred by Removers as a result of the Customer’s use of the Storage including any claims brought by any third party or government/agency as a result of the Customer’s use of any Storage.

6.3 Removers shall never be liable for any indirect or consequential damage suffered by the customer including any loss of purchase, loss of profits, loss of opportunities, loss of expected savings, loss of reputation or any damage resulting from the activities of other customers or from hindrances in the use of the storage caused by third parties.

6.4 The Customer agrees that given (a) the availability of insurance to protect the value of the Goods, (b) the fact that Removers does not have access to the storage facility and control the Customer’s use of the storage facility, (c) the fact that Removers does not have the opportunity to properly assess the risk, and (d) the potentially significant difference between the rental fees/charges paid by the Customer and the loss that the Customer may suffer, the exclusions and limitations of liability in this Article 6 are fair and reasonable. Article 7. Obligation to insure

During the entire term of the Agreement, the Customer must insure the Goods against loss and damage within the

Article 8. Maintenance and repairs

8.1 The customer shall take the necessary precautions to prevent damage to the on or the property of third parties. The customer agrees to make payment of invoices for such repairs within 7 days of sending such invoice.

8.2 In the event that Removers requires access to the storage or if the Goods need to be moved from the storage for the purposes stated above, Removers will inform the customer of this if time and circumstances permit. If necessary, Removers will request the customer to move the Goods to another storage facility within a reasonable period of time. If the customer fails to do so, Removers may enter the storage facility in order to move the Goods to another storage facility itself, with due care but at the customer’s risk. Article 9. Access by Removers and/or third parties

9.1 In principle, Removers and its employees will only enter the storage facility with the prior consent of the customer, unless otherwise stated in this Agreement.

9.2 In emergencies, Removers may also enter the storage without the customer’s permission or warning to the customer. Emergencies include maintenance, repairs and renovation as well as all sudden events that require urgent access.

9.3 After entering the storage facility in accordance with this Article 9, Removers shall have the right to draw up an inventory of the stored Goods.

Article 10. Non-compliance and termination of the Agreement

10.1 In the event that the Customer: a) fails to comply with any obligation imposed by law, national or local regulations or custom; or b) fails to perform its obligations under the terms of this Agreement (including non-payment of any rents and charges due); or c) becomes the subject of a bankruptcy or other insolvency related measure, Removers shall have the right to terminate the Agreement immediately at any time without notice and without prejudice to its existing rights and remedies. Furthermore, Removers shall remain entitled to recover from the Customer all losses, rents, fees and costs due.

10.2 In the event of termination of this Agreement, the Customer will be notified of the termination and the Customer will be required to remove his/her Goods from storage within 14 days of such notification. If the Customer fails to do so, Removers will be entitled to exercise the rights granted under Article 4, including the right to sell or dispose of the Goods.

Article 11 Notifications, change of address

11.1 From the effective date of the Agreement, Removers may, all notices or communications to the customer by email or other electronic means (to the email address or other electronic address provided by the customer). Article 12 Applicable law and competent court

12.1 All disputes that may arise out of or in connection with this Agreement shall in principle be subject to the jurisdiction of the Courts where the storage is located. This does not affect the right of Removers to appeal to another Court that has jurisdiction in accordance with the applicable law.

12.2 This Agreement shall be governed exclusively by the laws and regulations of the country or territory where the storage  facility is located  .

Article 13. Final provisions

13.1 If any part of this Agreement is void or voidable, this shall not affect the validity of the remaining part of the Agreement. In place of the void or voidable part, that which comes closest in a legally permissible manner to what the parties would have agreed if they had been aware of the voidness or voidability shall then apply as agreed.

13.2 The customer understands and accepts these general rental conditions and the customer accepts that the general conditions are available free of charge both in the form of a paper copy. Removers is entitled to change these general rental conditions (the customer will be notified by post, email before the implementation of any changes. Changed general conditions will apply 30 days after a notification from Removers has been received. The customer is deemed to agree to the changes unless the customer has notified Removers in writing within the aforementioned 30 day period that he does not agree with the changes. In the event of a proposed change to the general conditions, the customer is entitled to terminate the Agreement from the effective date of the changed general conditions (taking into account a notice period of 15 days).

13.3 All obligations under the Agreement shall be deemed to be joint and several if the Customer consists of 2 or more persons.
